Terms of Service

Nomadesk BV ("Nomadesk") provides its software and service to you subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. By using the Nomadesk service, you agree to be bound by these terms.

Nomadesk provides you the use of its "Nomadesk" software and accompanying service, collectively referred to here as the "Nomadesk Solution", which allows you to remotely store, manage and share your computer files over the internet. The Nomadesk Solution is provided on an "AS-IS" basis.

In consideration of your use of the Nomadesk Solution, you represent that you are of legal age to form a binding contract in your country of residence. You also agree to:

• Provide true and accurate information about yourself as prompted by the registration form
• Maintain and promptly update your registration data to keep it current and complete

Nomadesk has the right to suspend or terminate your account if you provide information that is untrue, inaccurate, not current, or incomplete.

Registration data and certain other information about you are subject to our Privacy Policy and rules imposed by the General Data Protection Regulation (GDPR). Nomadesk is committed to protecting your personal data and ensuring compliance with all applicable European data protection laws.

You will receive a password and account designation upon completing Nomadesk's registration process. You are responsible for:

• Maintaining the confidentiality of your password and account
• All activities that occur under your password or account
• Immediately notifying Nomadesk of any unauthorized use of your account or security breach
• Ensuring that you exit from your account at the end of each session

Accounts are for individual use only. Each account is to be used by one person only and is not to be shared with any other user.

You understand that all information, data, text, software, files, photographs, graphics, or other materials ("Content") stored under your account are your sole responsibility. You, and not Nomadesk, are entirely responsible for all Content that you upload or make available via the Service.

You agree not to use the Nomadesk Solution to:

• Upload or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy
• Harm others in any way
• Impersonate any person or entity
• Upload any Content that you do not have the right to make available under any law
• Infringe any patent, trademark, trade secret, copyright or other proprietary rights
• Upload any material containing software viruses or malicious code
• Interfere with or disrupt the Nomadesk Solution or connected networks
• Violate any applicable local, national or international law
• Collect or store personal data about other users improperly

Nomadesk reserves the right (but not the obligation) to pre-screen, refuse, or remove any Content that violates these terms or is otherwise objectionable.

When you register with Nomadesk, you acknowledge that your data will be stored on servers located in Europe. All communications are sent through computer networks located in the European Union, ensuring compliance with European data protection standards.

While files shared via Nomadesk are stored on European servers, recipients may access and download these files from locations outside Europe. Once downloaded, files are no longer under Nomadesk's technical control.

You agree to comply with all local rules regarding online conduct and applicable laws regarding the transmission of data from Europe and/or your country of residence.

You agree to indemnify and hold Nomadesk and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of:

• Content you submit or transmit through the Service
• Your use of the Nomadesk Solution
• Your violation of these Terms of Service
• Your violation of any rights of another party

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes any portion of the Service, use of the Nomadesk Solution, or access to the Nomadesk Solution, without explicit written permission from Nomadesk.

Nomadesk reserves the right to modify or discontinue, temporarily or permanently, the Nomadesk Solution (or any part thereof) with or without notice. Nomadesk shall not be liable for any modification, suspension or discontinuance of the Service.

Nomadesk reserves the right to revise pricing at any time. Written notice (including email) of price changes will be provided at least thirty (30) days in advance. Revised prices apply to all transactions after the revision date.

Nomadesk may, under certain circumstances and without prior notice, immediately terminate your account and access to the Service. Causes for termination include:

• Breaches or violations of these Terms of Service
• Requests by law enforcement or government agencies
• Your request for account deletion
• Discontinuance or material modification to the Service
• Technical or security issues
• Extended periods of inactivity
• Fraudulent or illegal activities
• Non-payment of fees

Termination includes removal of access, deletion of all associated data, and barring of further use. No refund will be granted for account termination for cause.

The Nomadesk Solution and any necessary software contain proprietary and confidential information protected by intellectual property laws. You agree not to:

• Modify the Software in any manner
• Use modified versions of the Software
• Access the Service by any means other than through the provided interface
• Attempt to override or circumvent any security or usage rules
